1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you and SkillSync ("we," "us," or "our"), governing your access to and use of the SkillSync website and services.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the service.

2. Description of Services

SkillSync provides an AI-powered talent management platform that connects job seekers with employers and offers various recruitment tools and services. Our services include but are not limited to:

Job posting and application management
Candidate screening and matching
Resume/CV creation and management
Interview scheduling and coordination
Recruitment analytics and reporting

3. User Accounts

3.1 Account Creation

To access certain features of our services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Responsibilities

You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer or device. You agree to accept responsibility for all activities that occur under your account.

3.3 Account Termination

We reserve the right to terminate or suspend your account and access to our services, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

4. User Content

4.1 Content Submission

Our services allow you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content that you post, including its legality, reliability, and appropriateness.

4.2 Content License

By posting Content to our services, you grant us a non-exclusive, worldwide, royalty-free license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through our services. This license terminates when you remove your Content from our services.

4.3 Content Restrictions

You agree not to post Content that:

Is false, misleading, or deceptive
Is defamatory, obscene, pornographic, vulgar, or offensive
Promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group
Violates any third-party rights, including intellectual property rights
Is illegal or promotes illegal activities
Impersonates any person or entity or misrepresents your affiliation with a person or entity

5. Intellectual Property

5.1 Our Intellectual Property

The service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of SkillSync and its licensors. The service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

5.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use our services for your personal or internal business purposes.

6. Payment Terms

6.1 Subscription Fees

Access to certain features of our services may require payment of fees. You agree to pay all fees associated with your account. All fees are non-refundable unless otherwise stated in our Refund Policy.

6.2 Billing

We use third-party payment processors to bill you through a payment account linked to your account. The processing of payments will be subject to the terms, conditions, and privacy policies of the payment processors in addition to these Terms.

6.3 Price Changes

We reserve the right to change our prices at any time. If we change pricing for a subscription service, we will provide notice of the change on our website or by email, at least 30 days before the change is to take effect.

7. Limitation of Liability

In no event shall SkillSync, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to or use of or inability to access or use the service
Any conduct or content of any third party on the service
Any content obtained from the service
Unauthorized access, use, or alteration of your transmissions or content

8. Disclaimer

Your use of the service is at your sole risk. The service is provided on an "AS IS" and "AS AVAILABLE" basis. The service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
